fa مقایسه قواعد عمومی قراردادها با قواعد اختصاصی حاکم بر معاملات بازار سرمایه (بورس) پژوهشي Original Article <div style="text-align: justify;"><span style="font-family:Tahoma;"><span style="font-size:12px;"><span style="line-height:115%"><span style="direction:rtl"><span style="unicode-bidi:embed"><b><span lang="FA"><span style="line-height:115%">زمینه و هدف:</span></span></b> <span lang="AR-SA"><span style="line-height:115%">در این مقاله تلاش شده به بررسی تطبیقی قواعد عمومی قراردادها با قواعد اختصاصی حاکم بر معاملات بازار سرمایه (بورس) پرداخته شود.</span></span><span dir="LTR"><span style="line-height:115%"><span style="color:black"></span></span></span></span></span></span><br> <span style="line-height:115%"><span style="direction:rtl"><span style="unicode-bidi:embed"><b><span lang="FA"><span style="line-height:115%">روش:</span></span></b> <span lang="AR-SA"><span style="line-height:115%">مقاله حاضر توصیفی ـ تحلیلی بوده و از روش کتابخانه‌ای استفاده ‌شده است.</span></span><b><span dir="LTR"><span style="line-height:115%"><span style="color:maroon"></span></span></span></b></span></span></span><br> <span style="line-height:115%"><span style="direction:rtl"><span style="unicode-bidi:embed"><b><span lang="FA"><span style="line-height:115%">ملاحظات اخلاقی:</span></span></b> <span lang="AR-SA"><span style="line-height:115%">در این مقاله، اصالت متن، صداقت و امانتداری رعایت شده است.</span></span><span lang="FA"><span style="line-height:115%"><span style="font-family:"B Nazanin""></span></span></span></span></span></span><br> <span style="line-height:115%"><span style="direction:rtl"><span style="unicode-bidi:embed"><b><span lang="FA"><span style="line-height:115%">یافته‌ها:</span></span></b> <span lang="AR-SA"><span style="line-height:115%">ویژگی‌های قراردادها و بازار‌های بورس موجب شده است که قواعد عام قانون مدنی و دیگر مقررات، برای تنظیم معاملات بورس کافی نباشد. برخلاف قواعد عام قانون مدنی که صرفاً برای صحت معاملات رعایت شرایط عمومی معامله، از جمله موارد ماده </span></span><span lang="FA"><span style="line-height:115%">۱۹۰</span></span><span lang="AR-SA"><span style="line-height:115%"> قانون مدنی همچون قصد و رضای طرفین، اهلیت، موضوع معین و مشروعیت جهت کافی است در خصوص معامله‌های بازار سرمایه علاوه بر آن شروطی دیگری همچون شفافیت بازار، رقابت منصفانه، اصل نظارت و تشریفاتی‌بودن معاملات نیز ضروری است. بنابراین شروط عمومی قانون مدنی با ظهور بازار سرمایه و قواعد مربوط به آن گسترش یافته و شروط جدیدی به آن اضافه شده است.</span></span><span lang="FA"><span style="line-height:115%"><span style="font-family:"B Nazanin""></span></span></span></span></span></span><br> <b><span dir="RTL" lang="FA"><span style="line-height:107%">نتیجه‌گیری:</span></span></b> <span dir="RTL" lang="AR-SA"><span style="line-height:107%">تفاوت‌های بین معاملات بورس با سایر معاملات اقتضا می‌کند که اصول و قواعد خاصی بر معاملات بورس حاکم باشد. معاملات در بازار سرمایه بر اساس قوانین و مقررات بازار سرمایه انجام می‌شود. در مراحل مختلف انعقاد، اعتبار، شروط تا حدودی بر طبق قواعد عمومی قرارداها و در مرحله انحلال بر اساس قراردادهای بازار سرمایه است و سازمان‌های بورس‌ها بر روند آن نظارت دارند. در این نوع معاملات نحوه انجام معامله توسط سازمان‌های بورس مشخص می‌شود و به اراده طرفین واگذار نمی‌شود.</span></span></span></span></div> <div style="text-align: justify;"><span style="font-size:12px;"><span style="font-family:Tahoma;"><span style="line-height:115%"><b><span style="line-height:115%">Background and Aim:</span></b> <span lang="EN"><span style="line-height:115%">In this paper, an attempt has been made to compare the general rules of contracts with the specific rules governing capital market transactions.</span></span><span style="line-height:115%"><span style="color:black"></span></span></span><br> <span style="line-height:115%"><b><span style="background:#f2f2f2"><span style="line-height:115%">Method:</span></span></b> <span lang="EN"><span style="line-height:115%">The current paper is descriptive and analytical and the library method is used.</span></span></span><br> <span style="background:#f7f7f7"><span style="line-height:115%"><b><span lang="EN"><span style="background:#f2f2f2"><span style="line-height:115%">Ethical Considerations:</span></span></span></b> <span lang="EN"><span style="background:#f2f2f2"><span style="line-height:115%">In this paper, the originality of the text, honesty and trustworthiness are observed.</span></span></span><span style="line-height:115%"><span style="font-family:"Times New Roman","serif""></span></span></span></span><br> <span style="background:#f2f2f2"><span style="line-height:115%"><b><span style="line-height:115%">Results<span style="background:#f2f2f2">:</span></span></b><b> </b><span lang="EN"><span style="line-height:115%">The characteristics of contracts and stock markets have caused that the general rules of the civil law and other regulations are not enough to regulate stock transactions. Contrary to the general rules of the civil law, which is sufficient for the correctness of the transactions, compliance with the general conditions of the transaction, including the articles of article 190 of the civil law, such as the intention and consent of the parties, the capacity, the specific subject and the legitimacy of the purpose, in the case of capital market transactions, in addition to that, other conditions such as market transparency, fair competition, the principle of supervision and the formality of transactions are also necessary. Therefore, the general conditions of the civil law have been expanded with the emergence of the capital market and its related rules and new conditions have been added to it.</span></span><span style="line-height:115%"><span style="font-family:"Times New Roman","serif""></span></span></span></span><br> <span style="line-height:115%"><b><span style="line-height:115%">Conclusion:</span></b><b> </b><span lang="EN"><span style="line-height:115%">The differences between stock market transactions and other transactions require that certain principles and rules govern stock market transactions. Transactions in the capital market are carried out according to the rules and regulations of the capital market. In the various stages of conclusion, validity, conditions are somewhat according to the general rules of contracts and in the stage of discharge, they are based on capital market contracts and stock exchange organizations supervise the process.
